CT Loyalty Programme Terms and Conditions

1.  Introduction

 

1.1.    These Terms and Conditions form the basis of the CT Loyalty Programme.  It is the responsibility of all Members to read and understand them.

 

1.2.    These Terms and Conditions are effective as at the date specified above and may be amended by Corporate Traveller from time to time.  Members will be provided with a copy of the Terms and Conditions at the time of joining the CT Loyalty Programme and will be notified of material changes.

 

1.3.    Every Member is bound by these Terms and Conditions.

 

1.4.    Points may only be earned and/or redeemed in accordance with these Terms and Conditions as amended from time to time.

 

2.  Definitions

In these Terms and Conditions unless the context requires otherwise:

Benefits means any of the facilities, discounts, services or arrangements offered or available to a Member as a result of Membership including earning and redeeming Points and Rewards.

Corporate Traveller means the business operated by Flight Centre (UK) Limited trading as Corporate Traveller.

Corporate Traveller Group means all of the Corporate Traveller Group Companies.

Corporate Traveller Group Companies means Flight Centre (UK) Limited or any related body corporate (as that term is defined in the Companies Act 2006) of Flight Centre (UK) Limited from time to time.

CT Loyalty Programme means the CT Loyalty Programme operated by Flight Centre (UK) Limited trading as Corporate Traveller.

Member means a member of the CT Loyalty Programme, being a corporate client of Corporate Traveller.

Membership means membership of the CT Loyalty Programme.

Points means CT Loyalty Programme points awarded to Members in the CT Loyalty Programme pursuant to these Terms and Conditions.

Reward means any product or service which has been nominated by Corporate Traveller as eligible to be obtained by a Member redeeming Points through the CT Loyalty Programme.

Terms and Conditions means these terms and conditions between Corporate Traveller and each Member.

 

3.  Changes to the CT Loyalty Programme

 

3.1.    Corporate Traveller reserves the right to make any changes (whether material or otherwise) to the CT Loyalty Programme and the Terms and Conditions.

 

3.2.    Corporate Traveller will use best efforts to advise Members of material changes to these Terms and Conditions.

 

3.3.    Members will be taken to have received the notice referred to in clause 3.2 if Corporate Traveller notifies Members of the change by providing notice at the email address provided to Corporate Traveller by the Member.

 

4.  Termination or Suspension of the CT Loyalty Programme

 

4.1.    Corporate Traveller gives no warranty as to the continuing availability of the CT Loyalty Programme.  Corporate Traveller may suspend or terminate the CT Loyalty Programme at any time.  Corporate Traveller will give at least 30 days notice to Members of such suspension or termination, except if Corporate Traveller ceases to operate a travel services business in which case the CT Loyalty Programme will cease immediately.

 

4.2.    If Corporate Traveller suspends or terminates the CT Loyalty Programme, Members will be able to redeem Points during the notice period in accordance with these Terms and Conditions, except where Corporate Traveller is ceasing to operate a travel services business and/or has gone into liquidation or other form of administration, in which case Corporate Traveller may terminate or cancel any Points or unprocessed redemptions immediately without notice.

 

5.  Membership

 

5.1.    Membership of the CT Loyalty Programme is only open to corporate clients of Corporate Traveller.  Points may be redeemed by Members for the benefit of the Member or the Member’s employees in the Member’s absolute discretion.

 

5.2.    Clients of Corporate Traveller who wish to become Members must complete the official online enrolment form available on the CT Loyalty Program website here.  Corporate Traveller has the right to accept or reject any application for Membership at its absolute discretion. Without limiting the foregoing, Corporate Traveller may cancel your membership or reject your application if your membership is prohibited under any contract between Corporate Traveller and your employer, or if your membership is contrary to any internal policies of your employer. It is your responsibility to advise Corporate Traveller whether your membership may be contrary to any internal policy of your employer.

 

5.3.    Each Member may have only one CT Loyalty Programme account.  

 

5.4.    It is the responsibility of all Members to advise Corporate Traveller of any changes to their status and contact details.

 

5.5.    Membership is valid for as long as a Member is a Corporate Traveller client.  If a Member moves their business from Corporate Traveller their Points will be forfeited and no further redemptions will be permitted.

 

5.6.    Members may cancel their Membership at any time upon providing written notice to Corporate Traveller.  Upon receipt of such notice, accumulated Points for any such Membership will immediately expire.

 

6.  Member Obligations and Responsibilities

 

6.1.    Members must not:

 

6.1.1. act in any way which breaches these Terms and Conditions; or

 

6.1.2. abuse or misuse the CT Loyalty Programme or any Rewards, Benefits, services or arrangements accorded to a Member as a result of Membership.

 

6.2.    Each Member is responsible for ensuring they have enough Points to redeem for any Reward they request.

 

6.3.    Each Member is responsible for regularly checking their Membership account and must notify Corporate Traveller of any omissions, incorrect entries or other discrepancies immediately.

 

6.4.    Members must advise Corporate Traveller immediately upon being offered and/or accepting any reward or incentive other than via the CT Loyalty Programme.

 

7.  Suspension or Termination of Membership

 

7.1.    If a Member has committed a material breach of any of the Terms and Conditions, whether intentionally or otherwise, then Corporate Traveller may (upon providing the Member with notice) do any one or more of the following:

 

7.1.1. suspend or terminate the Member’s Membership;

 

7.1.2. reverse or cancel the Member’s Points or any part thereof;

 

7.1.3. cancel or refuse to honour any Rewards, Benefits or both, that have been redeemed by or provided to the Member.

 

7.2.    Membership will terminate automatically upon the Member ceasing to be a client of Corporate Traveller.

 

8.  Earning Points

 

8.1.     For each £1,000 in travel bookings with Corporate Traveller the Member will receive 30 Points.

 

8.2.    Points will be available for redemption when the travel has been completed, and the invoice has been paid and is reconciled.

 

8.3.    Points will not be awarded in relation to any products or services that are cancelled, refunded or returned.  Corporate Traveller may cancel or deduct any Points that have been awarded in relation to cancelled, refunded or returned products or services.

 

8.4.    Corporate Traveller may, from time to time, approve other ways in which Members may earn Points or be eligible for Rewards or Benefits. 

 

8.5.    The allocated Membership number is unique, exclusive to each Member and is not transferable.

 

8.6.     All travel bookings must include the Member’s Membership number to earn Points.  It is the responsibility of the Member to ensure the Membership number is provided to the Corporate Traveller travel manager at the time of booking.

 

8.7.    Corporate Traveller may audit Members during or subsequent to the completion of the CT Loyalty Programme to ensure compliance with these Terms and Conditions.  If discrepancies are found during such an audit Corporate Traveller may, without limiting its rights under these Terms and Conditions, terminate the Member’s Membership. 

 

9.  Points Validity

 

9.1.    Points will expire if not redeemed within 12 months of being awarded.

 

9.2.    Expired Points will be processed every month. 

 

9.3.    Members will be notified via the Member’s CT Loyalty Programme monthly activity statement how many Points are set to expire.  Points not redeemed within this time will expire.

 

9.4.    Points cannot be re-credited once they have expired.

 

9.5.    Corporate Traveller reserves the right to cancel any Points credited to a Member incorrectly, or not in accordance with, or in breach of, the Terms and Conditions at any time.

 

9.6.    Corporate Traveller account managers will notify CT Loyalty Programme headquarters weekly of any changes to Member’s files including booking cancellations, booking upgrades, add-ons or any other amendments.  Members will have the ability to view their “pending” Points balance based on the current status of their travel bookings and files will be adjusted accordingly.  Upon completion of travel and final reconciliation pending individual Points will be available for redemption.

 

9.7.    Points will be calculated monthly.  An activity statement will be produced detailing the Member’s Point’s balance.  Activity statements can be viewed on the CT Loyalty Program website.

 

9.8.    Any Point discrepancies must be directed to CT Loyalty Programme headquarters at info@ctloyalty.com with the detail and nature of the discrepancy.  Members must allow 2 days for the query to be processed.  If a Member’s Point score is incorrect their details will be amended and they will be issued with a new activity statement.

 

10.  Redeeming Points for Rewards

 

10.1.  Members redeem Points in order to obtain Rewards at their own discretion.  Corporate Traveller does not give any warranty or make any representation in relation to the underlying value of any Rewards.

 

10.2.  Corporate Traveller may at any time and without prior notice to Members withdraw, limit, modify, cancel, increase or decrease:

10.2.1.    any particular Reward;

10.2.2.    the advertised terms of offer for a Reward; or

10.2.3.    the quantity of Rewards available for redemption.

 

10.3.  Rewards are subject to availability.  Images used in the online Rewards catalogue are used to illustrate a product category therefore the actual models delivered may not match the image exactly.

 

10.4.  Rewards may be offered for a limited time.

 

10.5.  Rewards may be subject to personal income or other tax assessment.  Members are advised to check with their accountant or tax advisor for further information.

 

10.6.  The number of Points that must be redeemed in relation to a particular Reward are determined by Corporate Traveller.  Corporate Traveller does not give any warranty or make any representation in relation to the underlying value of any Rewards.

 

10.7.  Members must have in their account the number of Points required to redeem the chosen Reward at the time the redemption is processed.

 

10.8.  Verification of claims and delivery of Rewards may take up to 28 working days.  No orders can be guaranteed for Christmas delivery if ordered after December 1st.

 

10.9.  Rewards will be delivered to the Member’s address provided at the time of enrolment.  Any variations to this should be requested by e-mailing info@uk.ctloyalty.com.  A nominated representative must be available to sign for the delivery of the Reward.

 

10.10. If an item arrives damaged Members must report it immediately to the CT Loyalty Programme headquarters at info@ctloyalty.com, who will arrange for the item to be repaired or replaced.

 

10.11. Points cannot be converted to or exchanged for money and are not transferable.

 

10.12. Except as required by law, Corporate Traveller accepts no liability of any nature in relation to Rewards.  To the extent that Corporate Traveller cannot exclude liability for a Reward, such liability is limited to:

 

10.12.1. re-crediting Points redeemed by the Member in order to obtain the Reward; or

10.12.2. replacing or re-supplying a Reward, at the discretion of Corporate Traveller.

 

10.13.  Rewards are manufactured and /or supplied by independent suppliers.  Certain statutory warranties under consumer protection laws may apply to Rewards for the benefit of consumers.  Nothing in these Terms and Conditions is intended to exclude or restrict the application of such consumer laws but Corporate Traveller makes no guarantee, warranties or representations of any kind, express or implied, with respect to the Rewards including warranties of merchantability, fitness for a particular purpose or otherwise outside the application of those laws.

 

11.  Gift Cards and Vouchers

 

11.1.  Gift Cards and vouchers are available as Rewards by redeeming Points at the levels set out at the CT Loyalty Program website as determined by Corporate Traveller.

 

11.2.  A voucher cannot be exchanged for money or replaced if lost, stolen, damaged or destroyed, and is issued subject to the conditions of the gift card or voucher.

 

12.  Personal Information and data protection

 

12.1.    It is a condition of Membership that a Member consents and authorises Corporate Traveller to collect, use and disclose their Personal Information where necessary.  Such collection, use and disclosure will at all times be in accordance with Corporate Traveller’s Privacy Policy and The Data Protection Act 1998.

 

13.  Liability

 

13.1.    To the extent permitted by applicable laws, Corporate Traveller, the Corporate Traveller Group and any of their officers, employees or agents are not liable for any loss or claim of any kind (including, without limitation, consequential or economic loss or loss of profits), arising under or in connection with these Terms and Conditions or the CT Loyalty Program, including, without limitation, any changes to the Terms and Conditions or the CT Loyalty Program (including suspension and/or termination), save to the extent that such loss or claim arises from the negligence or wilful misconduct of a Corporate Traveller Group Company or any of their officers, employees or agents.

 

14.  Bribery and Corruption

 

14.1. Each party shall comply, and shall ensure that each of its employees, officers, directors, contractors and agents complies with all applicable laws, regulations, codes and sanctions, including but not limited to anti-bribery and corruption, foreign corrupt practices and anti-terrorism laws and specifically the Criminal Code Act 1995 (Australia), the Bribery Act 2010 (United Kingdom) and the Foreign Corrupt Practices Act 1977 (United States of America).  Neither party shall engage in any course of conduct that would cause the other party to be in violation of the laws of any jurisdiction, including, without limitation, the laws, regulations, codes and sanctions referred to in this clause.  Each party shall ensure that it has in place and maintains policies and procedures adequate to prevent bribery and corruption, foreign corrupt practices and terrorism and to ensure compliance with the applicable laws, regulations, codes and sanctions referred to in this clause.  Each party shall, and shall ensure that each of its employees, officers, directors, contractors and agents shall uphold the highest standards of business ethics and conduct, and undertake not to give or receive any advantage that could be perceived as payment or receipt of a bribe, not to make facilitation payments and not to bribe a foreign public official.

 

15.  General

15.1.  Interpretation: In these Terms and Conditions, unless the contrary intention appears:

 

15.1.1.    the singular includes the plural and vice versa;

 

15.1.2.    pounds or '£' means British pounds;

 

15.1.3.    unless otherwise stated, all pound amounts include any applicable VAT;

 

15.1.4.    dates or times are Universal Time Code (or GMT) dates or times;

 

15.1.5.    a reference to 'include' or 'including' means 'including but not limited to'.

 

15.2.   Governing Law:  The Terms and Conditions and Membership in the CT Loyalty Programme are governed by and will be construed in accordance with the laws of England irrespective of where the application for Membership has been completed by the Member or submitted to Corporate Traveller.  In any action or other legal process with respect to any matter or thing in connection with these Terms and Conditions or Membership the Member submits to the non-exclusive jurisdiction of England.

 

15.3.   Nothing in these Terms and Conditions affects any rights a Member may have and which by law cannot be excluded, including under the Trade Descriptions Act 1968 and under UK consumer protection legislation, specifically the Consumer Protection from Unfair Trading Regulations 2008.

 

15.4.   If part or all of any clause of these Terms and Conditions is illegal, invalid or unenforceable then it will be read down to the extent necessary to ensure that it is not illegal, invalid or unenforceable, but if that is not possible, it will be severed from these Terms and Conditions and the remaining provisions of these Terms and Conditions will continue to have full force and effect.

 

15.5.  Rewards provided to Members or Member’s employees may have income tax or PAYE implications.

 

15.6.  Corporate Traveller recommends that Members seek independent tax advice from their own tax adviser in relation to any possible tax liability.  If such advice deems there is a tax liability it is the sole responsibility of the Member and/or the Member’s employee as applicable.

 

15.7.  Corporate Traveller recommends that Members consult their accountant or tax adviser to ensure that they understand the possible tax implications, if any, related to Membership and Benefits generally.

 

15.8.  The Points value of all rewards is inclusive of all fees, courier charges and VAT, if applicable.
